A California LLC can owe the annual $800 tax even when it has no sales, no profit or no business bank activity. Inactivity does not cancel the entity. First check the LLC's tax classification, formation date and status, then distinguish the annual tax from the separate LLC fee and return filing.
Confirm how the LLC is taxed
An LLC is a legal structure, not a single federal tax classification. A single-member LLC may be disregarded, a multi-member LLC may be treated as a partnership, and an LLC may elect corporate treatment. California requires the same classification as federal treatment. Corporate elections change the forms and tax rules; do not apply a Form 568 checklist blindly to an S corporation.
For LLCs subject to the standard California LLC rules, the FTB states that the annual tax continues while the entity remains organized or doing business in California, even without activity. A loss on the owner's federal return does not by itself remove that obligation.
Separate three obligations
| Obligation | What to verify |
|---|---|
| Annual LLC tax | Generally $800; payment commonly uses FTB 3522. |
| LLC fee | Separate fee based on total California income, starting at $250,000 under the FTB table. It is not a fee on net profit. |
| Income tax return | Determine the required return and due date from classification and tax year. Payment does not replace filing. |
The first annual payment is generally due on the 15th day of the fourth month from formation with the Secretary of State. Subsequent payments generally fall on the 15th day of the fourth month of the taxable year. Check the actual tax-year instructions for holidays, short periods and applicable relief.
Check first-year exceptions carefully
The broad first-year exemption described by the FTB applied to tax years beginning January 1, 2021 through December 31, 2023. Do not assume a newly organized LLC in 2026 receives that same exemption. A qualifying short-form cancellation within one year is a different exception with its own conditions.
Documents for a useful review
- Articles of organization, registration date and Secretary of State status.
- EIN notice, ownership details and any corporate election or IRS acceptance.
- Prior federal and California returns, FTB notices and payment confirmations.
- Bank statements and California income records, including inactive periods.
- Any cancellation documents and evidence of the last business activity.
If the business will not operate, review formal closure rather than leaving the account untouched. Cancellation and final returns require coordinated steps; they do not automatically erase prior balances.
California LLC questions
Does no income mean no annual tax?
Generally no. An LLC subject to the annual tax may owe it despite no income. Classification and specific exceptions must be checked.
Is the LLC fee the same as the $800 tax?
No. The fee uses a separate California income measure and payment process. A small LLC may owe the annual tax without owing the additional fee.
Does paying $800 file my return?
No. A payment and a return are separate obligations. Confirm whether Form 568 or a corporate return applies.
Can I close the bank account and stop filing?
Closing a bank account does not cancel the LLC with the Secretary of State or finish its FTB obligations. Keep closure records and review final filings.
